1. General Terms

Acceptance of Terms

By accessing or using GenXis, Inc products or services, you agree to be bound by these Terms. If you do not agree, do not use our services.

Description of Service

GenXis, Inc provides AI and API platforms with advanced intelligence capabilities, including real-time data integration and enterprise-grade solutions.

2. Accounts & Access

User Accounts

You are responsible for securing your account, including login credentials, API keys, and tokens. GenXis, Inc is not liable for unauthorized access due to your failure to secure your account. Report any security breaches immediately.

Lifetime Access Plan

• Grants access to all models (GenXis-Lite, GenXis Model-L, GenXis Supreme) for the supported lifetime of each product.
• "Lifetime" refers to the operational lifespan of the models, as determined by GenXis, Inc.
• Access may change or be discontinued if a model is deprecated or retired.
• Inactive accounts (no logins or AI usage) for 12 consecutive months will be terminated without notice.
• Lifetime plans are non-transferable and non-refundable.

3. Acceptable Use

Prohibited Activities

• Violating laws or regulations.
• Infringing intellectual property rights.
• Generating harmful, illegal, or malicious content.
• Reverse engineering or compromising our systems.
• Exceeding rate limits or abusing API endpoints.

We reserve the right to suspend or terminate accounts engaging in prohibited use.

4. Usage Policies

AI Usage & Rate Limits

AI usage is subject to rate limits. Excessive usage or abuse may result in throttling, suspension, or permanent ban.

Service Availability & Uptime

We strive for high availability but do not guarantee 100% uptime. We are not liable for delays or failures due to events beyond our reasonable control.

5. Intellectual Property & Content

Intellectual Property

All content, technologies, and documentation related to our products and services are the exclusive property of GenXis, Inc or its licensors. You may not reproduce, modify, or create derivative works without explicit written permission.

User Content and Input

By submitting input, you grant GenXis, Inc a limited license to use such data for operating, maintaining, and improving our products and services. Use of our products and services does not grant you ownership of any intellectual property rights.

Beta Features

Beta features are provided "as is" with no guarantees of stability, performance, or continued availability.

6. Fees & Payments

Payment Terms

Access fees are billed in advance on a monthly, annual, or lifetime basis. All fees, tokens, and credits are non-refundable, except where required by law.

7. Data & Privacy

Privacy and Data

Your privacy is important to us. Please review our Privacy Policy for more details. You retain ownership of your data. We do not sell user data.

Data Ownership and Processing

You grant GenXis, Inc a non-exclusive, royalty-free license to process, store, and analyze your data for delivering and improving the service.

8. Third-Party Tools & Integrations

Third-Party Services

Our platform may integrate with third-party services. We are not responsible for the content, policies, or failures of these services.

9. Legal Disclaimers

Disclaimer of Warranties

Our products and services are provided "as is" and "as available" without warranties of any kind. We do not warrant that our products or services will be error-free, uninterrupted, or free of harmful components.

Limitation of Liability

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our aggregate liability under these Terms will not exceed the greater of the amount you paid for the product that gave rise to the claim during the 12 months before the liability arose or 100 euros.

Hallucinations and Decision-Making

AI outputs can be wrong, biased, or cause bad decisions. GenXis, Inc makes no guarantees regarding the accuracy, reliability, or suitability of outputs generated by its AI systems. The service should not be relied upon for making legal, medical, financial, safety, or critical decisions.

10. Legal Responsibilities & Indemnity

Indemnification

You agree to indemnify, defend, and hold harmless GenXis, Inc, its affiliates, and their officers, directors, employees, and agents from and against all claims, damages, liabilities, and costs arising from your use of the service or your violation of these Terms.

11. Account Termination & Inactivity

Termination

We may suspend or terminate any user account and access to the service at any time without a refund, with or without cause, including for violation of these Terms.

Orphaned Accounts

Inactive accounts (no logins or AI activity) for 12 months will be closed and deleted without notice. Data, tokens, and credits will not be retained or refunded.

Chargebacks and Fraudulent Accounts

Any account associated with a chargeback, fraudulent activity, or unverifiable payment method may be terminated without notice. Reactivation is subject to GenXis company approval.

12. Changes to Terms

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 10 days' notice prior to any new terms taking effect.

13. Jurisdiction & Compliance

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, USA. Any disputes arising out of or relating to these Terms or the service shall be resolved in the courts of the State of Delaware, USA, unless otherwise required by law.

Export Restrictions

You may not use or access GenXis, Inc products or services if you are located in a country embargoed by the United States or are on the U.S. Treasury Department's list of Specially Designated Nationals.

14. User Contributions

Feedback Clause

By submitting suggestions or feedback, you grant GenXis, Inc a royalty-free, perpetual license to use such feedback for any purpose.

Age Requirement

You must be at least thirteen (13) years old to use our services.

Data Retention

We keep your input and output for the period necessary to generate the output and then for thirty (30) rolling days to monitor abuse.

15. Using the GenXis AI Products

Restrictions

You may not use our products or services to violate any applicable laws, infringe intellectual property rights, generate harmful content, reverse engineer our systems, exceed rate limits, or abuse API endpoints.

You may not use our products or services to send personal information of children under 13, reverse assemble or decompile our products, compromise security, extract content, buy/sell/transfer API keys or accounts, or engage in any prohibited activities.

Third-Party Services

You may connect third-party services to our products. You are solely responsible for complying with their terms and conditions. We are not liable for any disruptions, data loss, or issues arising from your use of third-party services.

Moderation

We reserve the right to monitor your use of our products through automated means to ensure compliance with our terms and policies.

16. Your Data

Your Data

You retain all ownership rights in input and own all output. We assign to you all right, title, and interest, if any, in and to output that we may have.

Responsibility for Your Data

You are responsible for all input and represent and warrant that you have all rights, licenses, and permissions required to provide input to our products.

You are solely responsible for all use of the outputs and evaluating the output for accuracy and appropriateness for your use case.

Output Restrictions

You may not use image outputs to develop or train any competing image-generation products or use outputs generated using our web-search feature to copy, store, archive, cache, create a database, redistribute, resell, sublicense, or use in any machine learning or similar algorithmic activity.

Feedback

By providing feedback, you acknowledge and agree that GenXis AI may use your feedback, along with the associated input and output data, for the purpose of training our artificial intelligence models and improving our products.

How We Use Your Data

We do not use your data to train our artificial intelligence models except in specific cases, such as when you use our products under a free subscription, provide feedback, or when your data is flagged as part of our automated moderation.

Similarity of Output

Due to the nature of our products, your output may be similar or identical to the response generated for another user. We provide no guarantees that your output will be unique.

Illegal Content

You may report any illegal content or violations of our usage policy. We reserve the right to access the reported content to improve our products and ensure compliance with our policies.

Third-Party Content

When you use certain features on our products, such as web-search, you may receive third-party content in the form of additional resources. Such third-party content does not constitute your data, and you shall have no right to this third-party content.

17. Prohibited Content and Activities

Illegal Activities

You must not use our products to engage in, encourage, promote, offer, or solicit illegal activity, including:

• Content that promotes drug trafficking or distribution.
• Content that infringes intellectual property rights.
• Content related to activities with a high risk of physical harm.
• Content that enables or exploits individuals, including human trafficking or sexual services.

Child Sexual Abuse Material (CSAM)

We have a zero-tolerance policy regarding CSAM. Any generation or attempt to generate CSAM on our products is strictly prohibited and will be reported to law enforcement authorities.

Non-Consensual Intimate Imagery

You shall not use our products to generate intimate images of any person without the explicit consent of all individuals involved.

Hate and Discrimination

You shall not use our products to promote hate, discrimination, or harassment, including generating content that promotes, incites, glorifies, or celebrates hate or discrimination based on race, gender, ethnicity, religion, nationality, sexual orientation, disability status, or caste.

Violence and Threats

You shall not use our products to conduct or generate any activity or content that promotes, incites, threatens, or glorifies violence, including threats of physical harm or glorification of violent acts or terrorism.

Self-Harm

You shall not use our products to generate content that promotes, encourages, or provides instructions for self-harm or suicide, including graphic depictions of self-harm, detailed descriptions of self-harm methods, or encouragement of others to engage in self-harm or suicidal behavior.

Fraud and Scams

You shall not use our products to engage in any form of fraudulent activity or scams, including phishing attempts, financial scams, impersonation, or misrepresentation of facts and data.

Misinformation

You shall not use our products to generate content that is deliberately misleading, false, or intended to deceive others, including spreading false information about current events, health, science, or that undermines the integrity of a civic or political process.

Privacy

You shall not use our products to generate content that invades or violates the privacy of others.

Professional Advice

You shall not use our products to provide professional advice without proper qualification, including offering investment advice, legal counsel, or medical diagnoses.
